We are seeking a motivated and proactive lawyer to serve as Associate Counsel. Reporting to our Chief Legal Officer, General Counsel and Corporate Secretary, the lawyer in this role will serve as a generalist, acting as the key second member of the Company’s legal team by advising senior leaders and other personnel on a wide variety of legal matters affecting the Company, including contracts and related business transactions, privacy, litigation, marketing/advertising, IP, compliance, employment law matters and M&A. This role will also play a key part in managing the Company’s contracting processes and supporting all business units in their day-to-day tasks.
Job responsibilities:
- Draft, review, negotiate and edit a wide variety of commercial contracts, including supply agreements, co-pack agreements, broker agreements, marketing agreements, logistics and transportation agreements, NDAs, professional services agreements and master services agreements
- Create, maintain and facilitate use of model/template agreements
- Establish and maintain contract automation and management systems
- Drive continuous improvement in the Company’s contracts, contract templates, processes and systems
- Manage the Company’s compliance with CCPA and similar privacy laws
- Manage or assist in managing the offense, defense and negotiation of a wide variety of commercial related matters and disputes
- Manage and assist with all aspects of the litigation process, including assessing risk, developing strategy, partnering with outside counsel, reviewing pleadings, discovery, etc.
- Support various corporate legal matters and projects depending on the needs of the business, which may include employment, advertising, IP/trademarks, mergers and acquisitions, and other matters.
- Participate in or lead compliance initiatives, including policy development, training, and monitoring.
- Provide clear legal advice and practical business-focused solutions enabling the business to achieve its objectives while preserving and protecting the Company’s integrity and reputation
Minimum Qualifications:
- J.D. degree from an accredited U.S. law school with a strong academic record
- 3-5+ years experience in a law firm or in-house role
- Admission to a U.S. bar (Colorado, Texas, New Jersey or California preferred)
- Excellent strategic and analytical skills, strong communication and presentation skills, and the ability to work well independently and on a team
- Excellent judgment, particularly in determining the significance of legal matters in tandem with business objectives
- Strong interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at all levels throughout the Company
- Ability to write in a universally-understandable and persuasive manner
- Ability to explain difficult legal concepts in plain terms
- Ability to work efficiently, prioritize work and meet deadlines in a fast-paced environment
- Hold a genuine desire to add value through hard work
- Meld a long-term view of success while working with short-term urgency
- Experience handling a variety of commercial contracts
Preferred Qualifications:
- Prior in-house experience, preferably at a public company
- In-house litigation, employment law, privacy or IP/trademark experience a plus
- A love for consumer products
