  •  Searching for a talented mid-level attorney who can work collaboratively with business unit leaders and other functional managers supporting a variety of commercial transactions, managing key legal aspects of contract drafting and negotiation, and related matters. Must have a strong team-minded, collaborative approach, entrepreneurial spirit and a desire to contribute to a growing business. This position is responsible for employing a consultative approach to legal counseling and providing effective and timely legal support to commercial transactions and a range of other matters for Compass Minerals. The Corporate Counsel will be responsible for leading negotiations on key business deals including sales, marketing and operations, and ensuring proper due diligence and compliance with corporate contract and governance policies. In addition, the Corporate Counsel will be responsible for providing legal support to the Company’s Environmental, Health and Safety Team.
Duties:
  • Serve as key lawyer/legal advisor on major commercial transactions and provide general business advice to internal business clients and support services on day-to-day, ongoing business matters.
  • Provide legal thought leadership and strategic advice to operational groups and management including best practices in the legal field, all within the organization’s stated core values.
  • Serve as the lead counsel on environmental, health and safety matters.
  • Draft, review, and negotiate a wide range of general commercial and business contracts, including sales agreements (international is a plus), warehouse and toll producer agreements, supply agreements, and master services agreements; counsel business units and functional areas on potential legal implications of commercial, operational and other activities.
  • Develop, advise on and ensure full compliance with applicable law, rules and regulations and relevant corporate policies and guidelines, identifying where there are weaknesses/breaches, and to manage the risks inherent in failure to observe such rules.
  • Efficiently direct the workflow of outside legal counsel on matters requiring external expertise or additional legal support/capacity.
  • Work collaboratively on legal team initiatives, including continuously improving contract practices, processes and templates.
  • Perform other related duties as assigned.
Requirements:
  • Juris Doctorate from an ABA-accredited law school with 7 to 10 years of legal practice experience in commercial transactions and other transactional experience.
  • Bar qualification in Kansas, or ability to become licensed to practice law in Kansas.
  • An excellent understanding of complex commercial contracts, ethics and compliance matters, and a broad range of experience in other legal subject matter areas.
  • Experience with agricultural or chemical industry and international business is a plus.
  • Sound business judgment, clear communication skills and strategic thinking with a consultative approach. Flexibility, initiative and willingness to work on a broad variety of legal matters.
  • Hard working, problem solving, and able to manage numerous projects and teams simultaneously under deadline pressure.
  • Excellent interpersonal skills and a highly collaborative and team-oriented approach are critical to success.
