THE ROLE:

This professional will serve as the lead counsel for the Company’s Active Nutrition segment, providing legal advice and representation in a variety of areas, including commercial contracts drafting and negotiation, intellectual property protection, regulatory compliance (e.g., advertising and food labeling), risk management, and other areas of the law relevant to the Active Nutrition businesses (Premier Nutrition, Powerbar, and Dymatize). This new position will work closely not only with the business segment management team, but also with sales, finance, procurement, regulatory, quality and operations functions. This position will be solutions-oriented, pragmatic and proactive in his/her approach to legal advice and able to work both collaboratively and autonomously. This professional will interface with executives directly in all Post Active Nutrition locations (Emeryville, CA, Dallas, TX and Europe), St. Louis and the PHI legal team. Position reports to the General Manager of Premier Nutrition, with a dotted line to the PHI General Counsel.

RESPONSIBILITIES:
• Serves as lead attorney for the Company’s Active Nutrition business, including ongoing legal advice and counseling with travel as needed.
• Provide high caliber, proactive legal and risk management advice to executives with respect to a range of legal issues affecting the business.
• Devise practical, business-oriented solutions and alternatives designed to mitigate risk and maximize business opportunities.
• Review, draft and negotiate a variety of commercial contracts, including marketing and sales, distribution, procurement, services, licensing, engineering, co-packing, private label manufacturing, and confidentiality agreements, along with ancillary legal documents.
• Develop standardized contract templates and policies designed to efficiently support the Active Nutrition business.
• Support litigated matters, including product liability and class action claims, in collaboration with Post Holdings, Inc. litigation counsel.
• Advise on regulatory requirements pertinent to food manufacturing and sales, including labeling, packaging and claims, antitrust / trade compliance, privacy, environmental, and other regulatory issues.
• Advise and strategize on intellectual property matters.
• Liaise with other Post Holdings attorneys and/or outside counsel to provide or obtain specialized advice.
• Advise on legal issues relevant to Active Nutrition international business, including commercial, regulatory and food law (supervising appropriate outside counsel), as well as interfacing on import/export requirements.
• Liaise with other Post Holdings and subsidiary legal counsel on a variety of issues.
Requirements

REQUIREMENTS:

• At least five (5) to seven (7) years of legal experience required, with prior in house experience
• Knowledge of consumer industry or manufacturing issues preferred
• Knowledge of international law from an issue-spotting perspective and experience in maximizing efficiency of outside counsel
• Excellent organizational skills with the ability to handle multiple projects simultaneously
• Self-starter; able to work with minimal supervision
• Strong negotiation skills, complemented with excellent business judgment
• Strong writing, interpersonal and communication skills
• Ability to collaborate and function well in a team environment
• Outstanding attention to detail
• Up to 25% travel required to offices in Dallas, TX and abroad as needed.
• Juris doctorate degree from an accredited law school and California State Bar Certification
