McDonald’s is seeking a senior securities lawyer with deep expertise in executive and director compensation to join its Corporate, Securities and Governance team within the Global Legal & Compliance Department. This role reports to the Vice President, Associate General Counsel and Corporate Secretary and plays a central role in advising the Compensation Committee of the Board.
You will lead all legal aspects of executive and director compensation, including equity programs, compensation disclosures, proxy and SEC filings, insider trading matters, and shareholder proposals. The role also involves drafting and reviewing Compensation Committee materials, advising senior executives and directors, overseeing subsidiary management, and collaborating with cross functional teams such as Global Total Rewards. You will lead and influence members of the CSG team and support enterprise wide governance initiatives.
Ideal candidates bring a JD and 10 plus years of experience across law firm and in house settings, with strong securities law and disclosure expertise. Experience advising boards and executives, leading teams, and working cross functionally is essential. ERISA experience is a plus.
